Environmental issues can impact almost all types of transactions. Investigation and remediation costs can often exceed the value of the transaction. We work diligently to reduce environmental risk and liabilities in all types of transactions, including property transfers, leases, construction, refinancing, and mergers and acquisitions. This support can be provided directly to the client team coordinating the transaction or in conjunction with counsel, whether in-house or other law firms.
In addition to contract drafting, negotiation, and due diligence review, we also provide counsel in the event of plant closings, insurance negotiation and other financial assurance vehicles, permit transfers, and reporting and notification requirements. We are experienced in working on M&A teams comprised of other legal professionals specializing in related areas, i.e. tax, construction, and securities. The firm litigates indemnity disputes in transactional documents.
Our attorneys negotiate everything from leases for wind and solar farm projects to consultant contracts. We provide direct oversight for an array of environmental investigations and remediation projects. We developed innovative oil and gas leases for hydraulic fracturing programs on behalf of the largest landowner in Ohio.

In many instances, the placement of environmental insurance is the key to a successful transaction.
